X-Ray Terms of Service

Effective date: October 19, 2026

1. The agreement

These Terms are an agreement between you and Henry Antonio-Devaughn Heard ("X-Ray," "we," "us"), an individual doing business as X-Ray, based in Atlanta, Georgia. They cover the X-Ray mobile app, its website and any related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

Who can use X-Ray

• You must be at least 18 years old and able to enter a binding contract.
• The Service is offered to people in the United States. If you use it from somewhere else, you are responsible for following your local laws.
• You may not use the Service if you are barred from doing so under US law.

Your account

• Give us accurate information and keep it up to date.
• Keep your sign-in details private. You are responsible for what happens under your account.
• One person per account. Don't share, sell or transfer your account.
• Tell us at support@x-ray.live if you think someone else has used your account.

2. X-Ray is information, not investment advice

X-Ray shows what public companies report in their SEC filings, next to their stock prices. It is a research and education tool. Nothing in the Service is investment, financial, legal, tax or accounting advice, and nothing is a recommendation to buy, sell or hold any security.

• We are not your adviser. X-Ray is not a registered investment adviser, broker-dealer or financial planner. We don't know your finances, goals or risk tolerance, and nothing in the Service is tailored to you.
• Scores and Findings describe; they don't judge. Gap, Z-score, Piotroski score, debt walls, insider activity, board ties, voting control and Findings are calculated by fixed formulas and rules from public filings. A score or Finding is not a prediction of how a stock will perform, and a "warning" color doesn't mean a stock is a bad investment.
• We don't trade. You can't buy or sell securities in X-Ray, and we don't receive payment from any company we cover.
• Your decisions are yours. Do your own research and consider talking to a licensed professional before investing. Investing involves risk, including losing money. Past results don't predict future results.

3. Where the data comes from

• Company data comes from filings on the SEC's EDGAR system: annual and quarterly reports, proxy statements, insider filings (Forms 3 and 4), Schedules 13D and 13G and current reports. X-Ray is not affiliated with or endorsed by the SEC.
• Stock prices are end-of-day closing prices from a licensed third-party provider. They are not real-time and may be delayed by a day or more.
• It can be wrong or missing. Companies sometimes restate their numbers, tag them inconsistently or file late. Our automated checks hold back numbers that don't add up, and the app shows "not available yet" where we can't read something reliably. Still, the data may contain errors, gaps or delays, and it is provided "as is." Check the original filing (the app links to it) before relying on any number.
• Company names and logos belong to their owners. Showing them doesn't mean any company is connected to or endorses X-Ray.
• No redistribution. The Service is for your personal, non-commercial use. Don't copy, scrape, bulk-download, resell or republish X-Ray's data, scores or price data, or use them to build a competing product. Our price provider's license requires this limit.

4. Plans, payments and refunds

Free beta

• During the beta, everything is free. Beta testers get every Pro feature at no cost. Nothing is for sale in the app during the beta, and we will never charge you for using the beta.
• When we launch, we'll tell you ahead of time, in the app or by email, what the free plan includes and what Pro costs. You'll only pay if you choose to subscribe; nothing switches to paid on its own.

Free plan (after launch)

After launch, the free plan includes the main company view and a limited number of companies with full Pro access ("Pro picks"). We may change what the free plan includes.

Pro subscription (after launch)

• Price: $4.99 per month or $39.99 per year, plus any tax. The price is shown before you buy.
• Free trial: new subscribers get a 7-day free trial. If you don't cancel at least 24 hours before the trial ends, your subscription starts and you are charged.
• Automatic renewal: your subscription renews automatically at the end of each month or year, at the then-current price, until you cancel.
• Cancelling: cancel any time in Google Play (Play Store > Profile > Payments and subscriptions > Subscriptions). You keep Pro until the end of the period you've paid for. Deleting the app or your X-Ray account does not cancel a Google Play subscription.
• Price changes: we'll tell you before a price change applies to your subscription, and you can cancel before it takes effect.

Billing and refunds

Purchases in the Android app are processed by Google Play under Google's terms. We never see or store your card number. Except where the law requires otherwise, payments are non-refundable; you can request a refund from Google under Google Play's refund policy.

5. Using the Service

Beta

During the beta, features, data and prices may change, break or be removed, and your watch list or settings may be reset. Tell us what you find at support@x-ray.live; that's what the beta is for.

Rules

Don't:

• break the law or anyone's rights while using the Service;
• scrape, crawl or bulk-download data, or access the Service other than through the app and website;
• reverse engineer, copy or resell the Service, or get around paywalls, limits or security;
• overload or interfere with the Service, or upload anything harmful;
• impersonate anyone or misrepresent X-Ray data as your own analysis or as investment advice from us.

Our content

The app, its design, code, charts, scores, written explanations and the X-Ray name and logo belong to Henry Antonio-Devaughn Heard or our licensors. We give you a personal, revocable, non-transferable license to use the Service under these Terms. Public filings themselves are public; our presentation and calculations are ours.

Your feedback

If you send ideas or feedback, we may use them without paying you or owing you anything.

Ending your account

• You can delete your account any time in the app (Account > Delete account) or at x-ray.live/delete. Cancel any Google Play subscription separately.
• We may suspend or close accounts that break these Terms or put the Service or other users at risk. If we close the Service entirely, we'll give reasonable notice.
• Sections that by their nature should survive (data limits, ownership, disclaimers, liability, disputes) continue after your account ends.

6. Legal terms

Disclaimers

THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS AND NON-INFRINGEMENT. WE DON'T PROMISE THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Limits on our liability

TO THE FULLEST EXTENT THE LAW ALLOWS, X-RAY IS NOT LIABLE FOR ANY INVESTMENT OR TRADING LOSSES, LOST PROFITS, OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE OR ITS DATA. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF WHAT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $50. Some places don't allow these limits, so some may not apply to you.

Indemnity

If you break these Terms or the law while using the Service and someone makes a claim against us because of it, you agree to cover our reasonable costs from that claim.

Disputes

• Talk to us first. Email support@x-ray.live and give us 30 days to try to resolve the problem informally.
• Governing law: the laws of Georgia, without regard to conflict-of-law rules.
• Where: courts in DeKalb County, Georgia, except that either of us may bring a claim in small-claims court where you live.

Other terms

• Changes: we may update these Terms. For material changes we'll notify you in the app or by email at least 30 days before they take effect. If you keep using the Service after that, the new Terms apply.
• Google Play: Google is not a party to these Terms and isn't responsible for the Service, but Google Play's own terms also apply to app downloads and purchases.
• If any part of these Terms can't be enforced, the rest still applies. Not enforcing a term isn't a waiver. You can't transfer these Terms; we can, as part of a merger or sale of the business. These Terms and the Privacy Policy are the whole agreement between us about the Service.
